Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern the use of the Payslip Gateway platform and related services (“Service”), provided by SPT Computers CC, by client companies (“Clients” or “Employers”). By accessing or using the Service, Clients agree to these Terms.

2. Description of Service

Payslip Gateway enables employers to deliver payslip documents to their employees via WhatsApp and other secure electronic means. The Service relies on the employer’s use of external payroll software (such as SimplePay) and processes data in accordance with employer instructions.

5. Prohibited Uses

Clients may not use the Service to transmit unsolicited messages, spam, or unlawful content, nor to violate the rights of any third party.

6. Limitation of Liability

To the fullest extent permitted by law, SPT Computers CC shall not be liable for any indirect, incidental, special, or consequential damages arising out of the use of the Service. Our total liability for any claim relating to the Service shall not exceed the fees paid by the Client for the relevant period.

7. No Warranties

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied. SPT Computers CC does not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. No advice or information obtained by the Client from SPT Computers CC shall create any warranty not expressly stated in these Terms.

8. Indemnity

Clients agree to indemnify, defend, and hold harmless SPT Computers CC, its directors, employees, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to the Client’s use of the Service, violation of these Terms, or breach of any applicable law or regulation.

9. Force Majeure

SPT Computers CC shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, internet or telecommunication outages, government actions, or third-party service failures.

10. Termination

Either party may terminate the Service upon written notice. Upon termination, SPT Computers CC will securely delete all client data as described in our Privacy Policy, subject to applicable legal and audit requirements.

11. Governing Law

These Terms shall be governed by the laws of South Africa.
